Efora TV only accepts AI-generated or AI-assisted content when the contributor has full rights sufficient for Efora TV’s intended commercial streaming, broadcasting, promotional, clipping, archive, and advertising-supported use. If you submit AI content to Efora TV, these terms apply in addition to our Terms of Service and related legal policies.

AI CONTENT TERMS OF ACCEPTANCE

These AI Content Terms of Acceptance (“AI Terms”) govern the submission, upload, delivery, licensing, or provision of any AI-generated or AI-assisted content to Treality LLC, d/b/a Efora TV (“Efora TV,” “we,” “us,” or “our”), including for possible use on https://eforatv.com, https://efora.tv, and related channels, feeds, streams, websites, players, archives, promotional properties, and distribution platforms.

By submitting, uploading, delivering, pitching, licensing, or otherwise providing any AI-generated or AI-assisted content to Efora TV, you (“Contributor”) acknowledge that you have read, understood, and agree to be bound by these AI Terms.

1. Definition of AI Content.
For purposes of these AI Terms, “AI Content” means any video, audio, image, animation, graphic, voice, music, clip, sequence, text, metadata, thumbnail, or other material that is generated, synthesized, modified, enhanced, or materially assisted in whole or in part by artificial intelligence, machine learning, generative systems, algorithmic tools, or automated content-generation workflows.

2. No Automatic Right from Platform Availability.
Contributor acknowledges and agrees that the mere existence, publication, or availability of content on YouTube, Dailymotion, social media, websites, marketplaces, or any other open or public platform does not, by itself, grant Efora TV the right to copy, ingest, rebroadcast, stream, display, monetize, archive, or otherwise exploit such content.

3. Grant of Rights to Efora TV.
Contributor grants to Efora TV, its affiliates, successors, assigns, distributors, platform partners, advertising partners, contractors, technology vendors, and sublicensees a worldwide, irrevocable, perpetual, non-exclusive, transferable, sublicensable, royalty-free, fully paid-up right and license to receive, host, ingest, copy, store, reproduce, encode, transcode, edit, adapt, modify, translate, caption, subtitle, dub, watermark, brand, publicly perform, publicly display, communicate to the public, broadcast, stream, transmit, retransmit, distribute, exhibit, promote, advertise, market, monetize, and otherwise exploit the submitted AI Content, in whole or in part, in any and all media, formats, channels, technologies, and services now known or later developed, including without limitation websites, embedded players, linear streams, mobile services, OTT, IPTV, FAST, social media, clips, teasers, trailers, promotional placements, and archive uses.

4. Express Permitted Uses.
Without limitation, Contributor expressly authorizes Efora TV to:
(a) include the AI Content in Efora TV programming and scheduled streams;
(b) use the AI Content on Efora TV websites and related services;
(c) create excerpts, clips, trailers, teasers, thumbnails, stills, and promotional edits;
(d) overlay logos, bugs, QR codes, lower-thirds, sponsor marks, and calls-to-action;
(e) place advertising or sponsorship in, around, before, during, or after the AI Content;
(f) package the AI Content into playlists, compilations, channels, themed blocks, or archive collections; and
(g) geo-distribute, geo-block, limit, or otherwise manage territorial availability in Efora TV’s sole discretion.

5. Contributor Warranties.
Contributor represents, warrants, and covenants that:
(a) Contributor is the sole owner of, or has full lawful authority to grant, all rights necessary for Efora TV’s authorized use of the AI Content;
(b) the AI Content was lawfully created and lawfully submitted;
(c) the AI Content is not unlawfully copied, ripped, scraped, downloaded, extracted, or repurposed from any third-party platform or source;
(d) Contributor has complied with all terms, licenses, policies, restrictions, and rules applicable to any AI tool, generator, software, model, dataset, platform, plug-in, or workflow used in connection with the AI Content;
(e) no part of the AI Content infringes, misappropriates, or violates any copyright, neighboring right, moral right, trademark, trade dress, publicity right, privacy right, contract right, guild right, union right, or other right of any person or entity; and
(f) Efora TV’s authorized use of the AI Content does not require any additional approval, payment, or consent from any third party except as expressly disclosed to and accepted by Efora TV in writing.

6. Music and Audio Clearance.
Contributor represents, warrants, and covenants that all music and audio embodied in the AI Content are fully cleared for Efora TV’s intended exploitation. This includes, where applicable:
(a) rights in the underlying musical composition;
(b) rights in any sound recording or master;
(c) synchronization rights;
(d) public-performance and communication-to-the-public rights;
(e) digital streaming, archive, clipping, promotional, and advertising-supported use rights; and
(f) any neighboring-rights, residual, or collecting-society obligations.

Unless Efora TV expressly agrees otherwise in a separate signed writing, Contributor remains solely responsible for all royalties, fees, levies, residuals, and other payment obligations arising from the AI Content.

7. Likeness, Voice, Avatar, and Digital Replica Rights.
Contributor represents, warrants, and covenants that the AI Content does not depict, imitate, clone, simulate, recreate, reproduce, or otherwise use the name, image, likeness, persona, face, body, signature, voice, vocal style, avatar, or digital replica of any person without all permissions, releases, consents, and legal authority necessary for Efora TV’s commercial exploitation of the AI Content.

If any identifiable or arguably identifiable person is represented, simulated, evoked, or imitated, Contributor warrants that Contributor has obtained a valid written release sufficient for streaming, broadcasting, clipping, promotion, archive use, ad-supported exploitation, and related commercial use by Efora TV.

8. Third-Party Elements.
Contributor represents, warrants, and covenants that all artwork, stock assets, designs, logos, brand references, trademarks, clips, templates, and other third-party elements embodied in the AI Content are lawfully included and fully cleared for Efora TV’s authorized use.

9. Territorial Scope.
Contributor warrants that the AI Content is cleared for Efora TV’s intended exploitation in the United States, Europe, Israel, and in any additional territory in which Contributor expressly authorizes Efora TV to exploit the AI Content through direct rights, collective management, reciprocal representation, or other valid rights chain.

For the avoidance of doubt, Efora TV shall not be required to make the AI Content available in every territory and may geo-block, restrict, or withhold the AI Content at any time.

10. No Duty to Investigate.
Efora TV shall have no duty to independently investigate Contributor’s ownership claims, platform-origin statements, AI workflow, music rights, likeness rights, source provenance, or chain of title, and may rely conclusively on Contributor’s representations, warranties, and covenants.

Any review, screening, acceptance, use, publication, or monetization of the AI Content by Efora TV shall not reduce, limit, or waive Contributor’s responsibility.

11. Takedown, Suspension, and Removal.
Efora TV may, at any time and in its sole discretion, reject, remove, suspend, mute, edit, crop, re-title, re-caption, geo-block, de-monetize, or discontinue use of the AI Content, in whole or in part, with or without notice, for any legal, technical, commercial, reputational, or policy reason, and without liability to Contributor.

12. Indemnity.
Contributor shall defend, indemnify, and hold harmless Efora TV and its affiliates, successors, assigns, officers, directors, members, managers, employees, agents, contractors, distributors, platform partners, advertising partners, technology vendors, sublicensees, and service providers from and against any and all claims, demands, notices, takedowns, disputes, investigations, proceedings, liabilities, damages, judgments, settlements, penalties, fines, losses, costs, and expenses, including reasonable attorneys’ fees and enforcement costs, arising out of or relating to:
(a) the AI Content;
(b) any alleged or actual infringement, misappropriation, or violation of copyright, neighboring rights, trademark, publicity rights, privacy rights, moral rights, contract rights, guild or union rights, or any other rights;
(c) any alleged or actual failure to obtain music, master, composition, synchronization, voice, likeness, avatar, digital-replica, or release rights;
(d) any breach of these AI Terms by Contributor;
(e) any allegation that the AI Content was unlawfully copied, scraped, downloaded, extracted, or repurposed from any third-party platform or source; or
(f) any royalty, fee, levy, residual, or collecting-society payment claimed by any third party.

13. Reimbursement and Cooperation.
Contributor shall promptly reimburse Efora TV on demand for all reasonable costs incurred by Efora TV in responding to any claim, takedown, investigation, or dispute relating to the AI Content, including legal fees, settlement amounts, expert fees, platform penalties, refunds, chargebacks, and rights-clearance remediation costs.

Contributor shall fully cooperate with Efora TV in defending, settling, or resolving any such matter and shall provide supporting documentation immediately upon request.

14. Survival.
Contributor’s warranties, covenants, indemnities, reimbursement obligations, and cooperation duties shall survive submission, acceptance, publication, removal, expiration, or termination of the AI Content and these AI Terms indefinitely.

15. Protective Construction.
These AI Terms shall be interpreted broadly to provide the maximum protection permitted by applicable law in favor of Efora TV.
